1. Who may use the Website

We reserve the right to restrict or terminate your access to the Website at any time, without notice, if we reasonably believe you have breached these Terms.

It does not constitute medical, clinical, diagnostic, legal, regulatory, financial, tax or other professional advice, and it is not a substitute for the professional judgment of a qualified practitioner. The "MediNeura" name and logo, the tagline "Intelligent Healthcare. Connected Care. Better Outcomes.", and product names including MediCampus are trade marks or unregistered marks of MediNeura Technologies Private Limited. You may not use them without our prior written permission. All other trade marks, product names and company names appearing on the Website — including those of cloud providers, standards bodies and third-party systems — are the property of their respective owners, and their appearance is for identification purposes only and does not imply endorsement, partnership or affiliation.
Except as expressly permitted in section 2, no licence or right is granted to you in respect of any intellectual property on the Website.
6. Your submissions
When you send us information through a form, by email or otherwise — including enquiries, feedback, suggestions or job applications — you confirm that the information is accurate, that you are entitled to provide it, and that it does not infringe the rights of any third party or breach any confidentiality obligation.
Any unsolicited ideas, suggestions or feedback you send us regarding our products are provided on a non-confidential basis, and you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, reproduce and incorporate them into our products and services without obligation or compensation to you. - Our total aggregate liability arising out of or in connection with your use of the Website shall not exceed one hundred United States dollars (USD 100) or the equivalent in local currency.
These limitations apply to your use of the Website only and do not affect liability arising under a separately executed service agreement, which contains its own liability provisions.

You agree to defend, indemnify and hold harmless MediNeura Technologies Private Limited, its affiliates, and their respective officers, directors, employees, agents and licensors from and against any claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or connected with your breach of these Terms, your misuse of the Website, or your violation of any law or the rights of a third party.

14. Export and sanctions compliance
You agree to comply with all applicable export control, economic sanctions and trade laws in connection with your use of the Website. You represent that you are not located in, and are not a national or resident of, any country or territory subject to comprehensive sanctions, and that you are not listed on any applicable restricted-party list.
15. Governing law and jurisdiction
These Terms and any dispute or claim arising out of or in connection with them or their subject matter — including non-contractual disputes or claims — are governed by and construed in accordance with the laws of India, without regard to conflict-of-laws principles.
The courts of Thiruvananthapuram, Kerala, India shall have exclusive jurisdiction to settle any such dispute or claim, except that we retain the right to bring proceedings in any jurisdiction where a breach of these Terms or an infringement of our intellectual property occurs or is threatened.
If you are a consumer resident in the European Union or the United Kingdom, you retain the benefit of any mandatory protections and the right to bring proceedings in the courts of your country of residence, where applicable law so provides.
16. Changes to these Terms
We may revise these Terms at any time by updating this page. The "Last updated" date shows when the current version took effect. Changes apply from the date of publication, and your continued use of the Website after that date constitutes acceptance of the revised Terms.
17. General provisions
- Entire agreement — these Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and us in relation to the Website.
- Severability — if any provision is found to be invalid or unenforceable, the remaining provisions continue in full force and effect.
- No waiver — our failure to enforce any provision does not constitute a waiver of that or any other provision.
- Assignment — you may not assign or transfer your rights under these Terms. We may assign ours in connection with a merger, acquisition or sale of assets.
- Force majeure — we are not liable for any failure or delay caused by events beyond our reasonable control.
- No third-party rights — no person other than you and MediNeura has any right to enforce these Terms.
- Language — these Terms are drafted in English, which governs in the event of any translation conflict.
